                                                ByLaws of  HaSAAI

                                           

 

 

 

 We, the undersigned residents of the state of New York, alumni of the Salesian Schools of Haiti, do hereby  form
a Corporation under New York State Statute.  The Name of the corporation shall be "Haitian Salesian  Alumni
Association, Inc “  (HaSAAI), or  "Association des Anciens Eleves Salesiens Haitiens”.


3.      PRESIDENT.
         The president shall be the chief executive officer of the corporation; he shall preside at all meetings of the members
          and of the board; he shall have the general management of the affaires of the corporation and shall see that all
          orders and resolutions of the board are carried into effect.

4.      VICE-PRESIDENT.
         During the absence or disability of the president, the vice-president shall have all the powers and functions of the
         president. The vice-president shall perform such other duties as the board shall prescribe.

5.      TREASURER.
         The treasurer shall have the care and custody of all the funds and securities of the corporation, and shall deposit
         said funds in the name of the corporation in such bank as the directors may elect. He shall prepare all documents
         required by the State of New York, the Internal Revenue Service and other governmental agencies. At the end of
         each corporate year, or at each annual meeting, or on the request of the Board of directors he shall present an
         annual report setting forth in full the financial conditions of  the corporation.

6.      ASSISTANT-TREASURER. 
         During the absence or disability of the treasurer, the assis­tant-treasurer, the one so desig­nated by the secretary or
         by the board,  shall have the powers and functions of the treasurer.

7.       SECRETARY.
          The secretary shall keep the minutes of the board of direc­tors and also the minutes of the members. He shall have
          the custody of the seal of  the corporation and shall affix and attest  the same to documents when duly authorized
          by the board of direc­tors. He shall keep a member­ ship roll containing the names of all persons who are members of
          the corporation.

8.       ASSISTANT-SECRETARY.
          During the absence or disability of the secretary, the assistant-secretary, the one so designated by the secretary or
          by the board, shall have all the powers and functions of the secretary.

ARTICLE VI - SEAL
         The Board of directors may change the seal of the corporation.

ARTICLE VII - Execution of Papers
          Except as the directors may authorize the execution thereof in some other manner, all deeds, leases, transfers
          contracts, bonds, notes, checks, drafts and other obligations made, accepted or endorsed by  the corporation shall
          be signed by the president, the secretary or the treasurer.

ARTICLE VIII - AMENDMENTS
          The members, directors and officers of the corporation shall not be personally liable for any debt, liability or
          obligation of the corporation. All persons, corporation or other entities extending credit to, contracting with, or
          having any claim against the orporation, may look only to the funds and property of the corporation for the
          payment of any such contract or claim, or for the payment of any debt, damages,  judgment of decree.

ARTICLE IX - CONSTRUCTION
          If there be any conflict between the provisions of the certificate of incorporation and these by-laws, the provisions
          of the certificate of incorporation shall govern.

ARTICLE X - AMENDMENTS
          These By-laws may be adopted, amended or repealed at any annual or special meeting of the members, notice of
          which shall specify the subject matter of the proposed amendment or  repeal or the sections to be affected thereby,
          by vote of the members. These By-laws may also be amended or repealed by the vote of a majority of the directors,
          except with respect to any provision thereof which by law requires action by the members.

ARTICLE XI - DISSOLUTION
           Upon The Dissolution of the Corporation, its board of directors, after payment of all  liabilities of the Corporation,
           shall distribute all remaining assets of the corporation to the  Salesien Schools of Haiti.
